Service Provider Agreement
**Effective date:** June 1, 2026
This Service Provider Agreement ("Agreement") supplements Scout's Terms of
Service and applies specifically to users who register as service providers
("Providers") on scout.ca. By completing Provider registration, you agree
to this Agreement in addition to the Terms of Service.
1. Provider Status
You are an **independent contractor**, not an employee, agent, or partner
of Scout Technologies. Scout does not direct, supervise, or control your
work. You are solely responsible for:
- How and when you perform services
- The quality and safety of your work
- Your tax obligations (GST/HST, income tax)
- Compliance with all applicable laws, codes, and regulations
- Obtaining and maintaining required licenses and insurance
2. Licensing and Insurance
You represent and warrant that:
- You hold all licenses, certifications, and permits required by law to
perform the services you advertise in your service area
- You carry liability insurance appropriate for the services you offer
- You will keep this information current and accurate on your profile
Scout displays self-declared licensing and insurance information as provided
by you. **Scout does not independently verify this information.** Misrepresenting
your credentials is a violation of this Agreement and may result in immediate
account suspension.
3. Profile and Content
You are responsible for all content on your profile, including:
- Business name, bio, photos, and pricing information
- Accuracy of your service area and availability
- Responding to job requests promptly (within 48 hours recommended)
Scout reserves the right to remove or edit content that violates our policies.
We may also suspend or delist your profile if your account becomes inactive
(no login for 60 days) without prior notice, pending re-confirmation.
4. Jobs and Customer Commitments
When you accept a job through Scout:
- You are entering into a direct service agreement with the customer
- Scout is not a party to that agreement
- You are responsible for fulfilling the agreed scope of work
- Disputes about service quality, pricing, or outcomes are between you
and the customer; Scout has no obligation to mediate
We encourage you to confirm scope, price, and timeline in writing (via the
job description and date confirmation within the platform) before commencing work.
5. Subscription and Billing
- Your subscription is billed monthly at the current rate ($29 CAD/month
as of the effective date above)
- Your profile appears in search results only while your subscription is
active or within a valid free trial period
- Scout does not charge per-lead fees or commissions on jobs
- See the Terms of Service for full cancellation and payment terms
6. Off-Platform Activity
You agree not to:
- Solicit customers you first contacted through Scout to engage your
services exclusively off-platform in order to avoid Scout's fees
- Share your contact information in your public bio or portfolio for
the purpose of bypassing Scout's contact system
Note: We are not restricting you from doing business outside Scout —
you are free to have other clients, websites, and channels. This clause
applies only to deliberate circumvention of Scout's platform value.
7. Conduct Standards
You agree to:
- Treat customers with professionalism and respect
- Not discriminate against customers on the basis of race, gender,
religion, sexual orientation, disability, national origin, or other
protected grounds under applicable human rights law
- Not engage in aggressive, threatening, or harassing behaviour
- Report any safety incidents or concerns to Scout promptly
8. Account Suspension and Termination
Scout may suspend or terminate your provider account with or without
notice if you:
- Violate this Agreement or the Terms of Service
- Receive multiple substantiated complaints from customers
- Provide false information about your credentials
- Engage in fraudulent or abusive conduct
- Fail to pay your subscription after a grace period
Upon termination, your profile will be removed from search results.
Reviews associated with your profile will remain on record for platform
integrity purposes.
9. Feedback and Reviews
You acknowledge that customers may leave reviews about your services.
You agree not to:
- Offer incentives in exchange for positive reviews
- Attempt to remove legitimate negative reviews by threatening or
pressuring customers
- Submit fake reviews about your own business or competitors
Disputes about review authenticity should be directed to [email protected].
10. Taxes
You are solely responsible for reporting and remitting all applicable taxes,
including income tax and GST/HST, on revenue earned from customers. Scout
will not withhold taxes on your behalf. Providers who exceed the $30,000
CAD annual threshold must register for and collect GST/HST independently.
11. Limitation of Liability
Scout is not liable for:
- Loss of income or leads resulting from platform downtime
- Customer disputes or non-payment for services
- Damages arising from work you perform for customers
- Any claim by a third party relating to your business operations
